CHARTER OF IOCAS INTERNATIONAL ADVISORY BOARD
OFFICIAL DESIGNATION
Institute of Oceanology, Chinese Academy of Sciences International Advisory Board ("IOCAS International Advisory Board")
OBJECTIVES AND SCOPE OF ACTIVITIES
(1) To enhance the understanding of the current issues and trend of the international marine science development, research supervision in particular, while expanding the institute’s access to information in decision-making process;
(2) To advise the strategy to develop the system of IOCAS with reference to international best practices;
(3) To advise IOCAS with respect to technical cooperation, bilateral and multilateral assistance as well as mutual development between IOCAS and the international organizations and other national authorities.
DESCRIPTION OF DUTIES
The Committee shall advise and make recommendations to the Secretary on a broad range of topics including the current state of knowledge and research and the relevant gaps in knowledge and research about the marine sciences research.
OFFICIAL TO WHOM THE COMMITTEE REPORTS
The Advisory Board Chair or Vice-Chair will report findings, recommendations, and tasking progress to the Board
ESTIMATED ANNUAL OPERATING COSTS
The estimated annual cost for operating the Committee, including the approved stipend and reimbursement of travel expenses for the members is $100000

ESTIMATED NUMBER AND FREQUENCY OF MEETINGS
The Estimated Number of the Board is Nine to Fifteen. The Board shall have one chairman, who shall be elected by the Board members.
The Board is serviced by a Secretariat in the International Cooperation Office of the IOCAS, headed by a secretary-general.
The Board shall convene its annual meeting in spring, which normally lasts for two to four days. Under certain circumstances, the Board may hold non-regular meetings at the request of the Director of the IOCAS.
DURATION
The term of IOCAS International Advisory Board is two years and the Chairman shall not be renewed upon expiration. The members can be renewed.
TERMINATION
The IOCAS International Advisory Board shall terminate two years from the date of the filing of this Charter unless renewed or terminated earlier by all members.
MEMBERSHIP AND DESIGNATION
(1) The Board members have the rights and obligations to attend the annual meetings, submit proposals and advisory notes on the topics of the annual meetings. If, for specific reasons, a member is unable to attend the annual meeting, he or she shall inform the Secretariat in writing. A member who does not participate in the annual meeting for two consecutive years shall be regarded as relinquishing the membership at his or her own choice.
(2) The Board members may be called up for individual inquiries from the Director of the IOCAS and shall provide his or her input accordingly.
(3) The Board members may be requested to advice on the major supervisory policies and projects proposed by the IOCAS. The Board members may also be requested to provide advice on specific issues for certain departments of the IOCAS when deemed necessary.
(4) The Board members have access, in accordance with relevant rules and regulations, to information regarding the operation and development of the IOCAS.
(5) The IOCAS will cover the Board members’ air travel, hotel accommodation and other miscellaneous expenses in connection with attending the annual meetings.
(6) The Board members may be invited as distinguished guests to attend other activities organized by the IOCAS, for which the IOCAS will provide all logistic support.
RECORDKEEPING
The records of the IOCAS International Advisory Board, its committees, and/or task forces, shall be handled in accordance with the IOCAS management rules to the approved archives. These records shall be available for inspection and copying.
FILING DATE
It shall terminate two years from the date of filing of this Charter unless renewed or terminated earlier by IOCAS.

CHAPTER I GENERAL PROVISIONS
Article 1 The designation of this Board is the Board of International Advisers of The Institute of Oceanology, Chinese Academy of Sciences (hereinafter referred to as the Board).
Article 2 The Board is an international advisory organization composed of senior researchers and experienced professionals in marine science in the world. They serve as members of the Board at The Institute of Oceanology, Chinese Academy of Sciences (hereinafter referred to as the IOCAS). The Board is established to advise IOCAS of the strategic issues and provide suggestions on building an effective system of the institute.
CHAPTER II MISSION
Article 3 The mission of the Board is:
(1) To enhance the understanding of the current issues and trend of the international marine science development, research supervision in particular, while expanding the institute’s access to information in decision-making process;
(2) To advise the strategy to develop the system of IOCAS with reference to international best practices;
(3) To advise IOCAS with respect to technical cooperation, bilateral and multilateral assistance as well as mutual development between IOCAS and the international organizations and other national authorities.
CHAPTER III ORGANIZATION
Article 4 The Board is initiated by the Director of IOCAS and sponsored by IOCAS.
Article 5 The Board is composed of the senior researchers and experienced professionals invited by the IOCAS from around the world. The members of the Board are appointed by the Director of IOCAS. The membership will terminate upon the expiration of the members’ term of appointment.
Article 6 The Board shall have one chairman, who shall be elected by the Board members. The term of office of the Chairman is two years and shall not be renewed upon expiration.
Article 7 The Board is serviced by a Secretariat in the International Cooperation Office of the IOCAS, headed by a secretary-general.

Article 9 The topic of each annual meeting shall be selected in consideration of the current developments and trend of marine science in China and around the world, subject to the approval of the Director of the IOCAS in consultation with the Board members.

CHAPTER V SUPPLEMENTARY PROVISIONS
Article 16 This Charter shall take effect upon its adoption at the first meeting of the Board.
Article 17 Amendments to this Charter shall be proposed by the Secretariat and subject to the approval of the annual meeting of the Board.
Article 18 IOCAS is responsible for the interpretation of this Charter.
